1. Introduction and Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Cureocity Healthtech LLP ("Cureocity," "Company," "we," "us," or "our"), governing your access to and use of the Cureocity client mobile application, associated web application, and all related features, content, and services (collectively, the "App" or "Services").
The App is a consumer wellness and health-technology platform that allows you to, among other things, register a personal health profile, purchase and book wellness, fitness, nutrition, and consultation services, upload and store personal health records, connect wearable devices and continuous glucose monitors, receive AI-generated wellness insights and coaching content, log meals and workouts, share summarized health data with family members and treating professionals, and communicate with trainers, dietitians, doctors, and other wellness professionals made available through the App (collectively, "Providers").
By creating an account, clicking "I Agree," completing registration (including on an in-clinic tablet or kiosk), or otherwise accessing or using the App, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any supplemental terms referenced herein (together, the "Agreement"). If you do not agree, you must not access or use the App.
These Terms should be read together with our Privacy Policy, Consent Forms, Cancellation & Refund Policy, and any service-specific terms presented to you at the point of purchase, all of which are incorporated by reference.
2. Definitions
"Account" means the personal profile you create or that is created on your behalf to access the App.
"Health Data" means any information relating to your physical, mental, or physiological health, including medical history, diagnosed conditions, medications, allergies, lab reports, biometric readings, wearable and sensor data, glucose readings, menstrual-cycle data, sleep, stress, recovery, and fitness data, and AI-generated wellness scores or insights derived from any of the foregoing.
"Provider" means any doctor, dietitian, trainer, physiotherapist, psychologist, or other wellness or clinical professional who delivers services to you through, or in connection with, the App, whether employed by Cureocity, engaged as an independent contractor, or affiliated through a partner clinic or hub.
"Health Vault" means the feature of the App that allows you to upload, store, and selectively share medical documents, lab reports, and related health records.
"Wellness Score" means any algorithmically or AI-derived score, index, trend, or status label generated by the App, including Recovery Score, Stress Score, Daily Load Score, Sleep Score, Cureocity Readiness Index, SensorAge, Health Monitor gauges, and glucose analytics.
"Family Health Circle" means the feature allowing a User to request and receive a summarized view of another User's Wellness Scores and AI insights, subject to the consenting User's explicit, revocable authorization.
"Connected Device" means any third-party wearable, sensor, or medical device (including continuous glucose monitors) that you link to the App, whether directly or through a platform such as Apple Health, Google Fit, or a device manufacturer's SDK.
3. Eligibility and Account Registration
3.1 Age and Capacity
You must be at least 18 years old and capable of entering into a legally binding contract to create an Account and use the App. If applicable law in your jurisdiction sets a higher age of digital consent, that higher age applies. The App is not directed at, and we do not knowingly collect Health Data from, children. Where you register, book, or manage services for a family member through in-person, staff-assisted registration, you represent that you are legally authorized to act on that person's behalf and to provide any consents required by these Terms on their behalf.
3.2 Family Health Circle Eligibility
All members added to a Family Health Circle (both the requesting User and the User whose data is shared) must independently be 18 years of age or older with their own verified Account. The Family Health Circle currently does not support enrolling minors as either party, and no summarized Health Data of a minor may be shared through this feature until a dedicated parental/guardian-consent mechanism is implemented and separately disclosed.
3.3 Registration Accuracy
Whether you register yourself directly in the App or your profile is created by Cureocity staff on your behalf during an in-person visit (e.g., via a front-desk tablet), you are responsible for reviewing and confirming that your name, contact details, date of birth, emergency contact, medical conditions, and goals are accurate and current. Where registration includes an on-screen or in-person explanation of these Terms and a consent form, your affirmative "Agree" selection (including where later reviewed or confirmed by staff) constitutes your acceptance of this Agreement and your consent to the processing of your Health Data as described in our Privacy Policy.
3.4 Account Security
You are responsible for maintaining the confidentiality of your login credentials and one-time passcodes, and for all activity that occurs under your Account. Notify us immediately at admin@cureo.city if you suspect unauthorized access. We may use OTP-based verification, biometric login, or other authentication methods and may suspend an Account showing signs of compromise or fraud.
4. Description of Services
The App provides a range of wellness and administrative features, including but not limited to:
Discovery and purchase of fitness, nutrition, and clinical consultation packages, delivered online (in-app/telehealth) or offline (in-person at partner hubs and clinics);
Scheduling, rescheduling, and management of appointments with Providers, including video-based telehealth consultations;
A Health Vault for uploading, storing, and selectively sharing medical documents and lab reports, including AI-assisted extraction of key values from uploaded documents;
Integration with wearable devices, smartphone sensors, and continuous glucose monitors to ingest activity, sleep, cardiovascular, and metabolic data;
AI-generated Wellness Scores, trends, daily insights, and coaching content derived from your logged and connected data;
AI-assisted and Provider-reviewed fitness programming, workout logging (manual and camera/computer-vision assisted), and meal logging with optional synchronization to an assigned dietitian;
A Family Health Circle enabling consenting adult Users to share summarized wellness information with one another;
Marketplace discovery of physical wellness hubs and services near you, using location data;
Push notifications, in-app alerts, and messaging relating to bookings, health observations, and promotional offers.
Certain features are available only to Users on a paid or "Premium" subscription tier, as described in Section 11. Certain features (for example, online AI-generated workout plans) are available only for online/app-based packages and are delivered differently, or not at all, for in-person/offline packages, as described within the App at the time of purchase.
5. Important Health and Medical Disclaimers
Please read this section carefully. It affects your health-related decisions and your legal rights.
5.1 Not a Medical Device or Diagnostic Service
The App, including all Wellness Scores, AI-generated insights, risk flags, and coaching content (such as Recovery Score, Stress Score, Daily Load Score, Sleep Score, Cureocity Readiness Index, SensorAge, Health Monitor gauges, glucose trend analytics, and Daily AI Health Coach insights), is a wellness and lifestyle tool intended for general informational and self-management purposes only. It is not a medical device, is not intended to diagnose, treat, cure, mitigate, or prevent any disease or medical condition, and does not constitute the practice of medicine. Where any AI-generated content is presented to you, it will generally be accompanied (or should be read as if accompanied) by language substantially similar to: "AI-generated insight. Not a medical diagnosis. Please consult a professional."
5.2 No Substitute for Professional Medical Advice
Nothing in the App, including any Provider consultation summary, AI-drafted "Personal Health Blueprint," consultant letter, or algorithmic score, is a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified physician or other qualified health provider with any questions you may have regarding a medical condition, medication, pregnancy, or before beginning any new exercise, nutrition, or wellness program, particularly if you have an existing injury, chronic condition, or are otherwise at elevated health risk. Never disregard professional medical advice or delay seeking it because of something you read, saw, or were told through the App.
5.3 Accuracy, Personalization, and Population Limitations
Wellness Scores and insights are generated using statistical, rules-based, and/or machine-learning models compared against your own historical baseline or general population reference data, and may rely on reference datasets that are not fully representative of every ethnicity, age group, sex, or health status. Certain features (for example, SensorAge and CGM-related analytics) explicitly disclose that they are calibrated using specific population reference curves and may be less accurate until sufficient personal baseline data has been collected (a "calibration" or "cold start" period, generally the first two to four weeks of use). Scores and insights may be delayed, incomplete, or inaccurate due to device limitations, connectivity issues, low-quality sensor data, background operating-system throttling, or gaps in your self-reported information.
5.4 No Emergency or Real-Time Monitoring Service
THE APP IS NOT AN EMERGENCY SERVICE AND MUST NOT BE RELIED UPON FOR REAL-TIME OR LIFE-THREATENING SITUATIONS. Notifications, alerts, and risk flags (including proactive health triage alerts and glucose trend alerts) may be delayed due to background data synchronization, connectivity, or device settings, and are not guaranteed to be delivered instantly or at all. If you believe you are experiencing a medical emergency, call your local emergency services number immediately or go to the nearest emergency room. Do not use the App, including any chat, messaging, or alert feature, as a means of obtaining emergency medical assistance.
5.5 Continuous Glucose Monitoring and Metabolic Features
If you connect a continuous glucose monitor ("CGM") or similar device, you acknowledge that:
(a) Cureocity does not manufacture, calibrate, warrant, or control the accuracy of any third-party CGM or sensor hardware;
(b) interstitial glucose readings can lag actual blood glucose levels by several minutes and the App's analytics are designed to reflect trends rather than precise point-in-time values;
(c) metrics such as Glucose Management Indicator, Glycemia Risk Index, and time-in-range analytics are proprietary wellness interpretations and are not a substitute for laboratory-confirmed HbA1c testing or a treating physician's diabetes management plan; and
(d) you should continue to follow your treating physician's guidance for the diagnosis, monitoring, and management of diabetes or any other metabolic condition, regardless of what the App displays.
5.6 Exercise and Physical Activity Risk
Participation in any workout, fitness assessment, or exercise program made available or recommended through the App (including AI-generated or Provider-assigned plans, camera-based movement assessments, and readiness-based intensity adjustments) is at your own risk. You should consult a physician before beginning any exercise program, particularly if you have any pre-existing injury or medical condition. You are responsible for stopping any activity and seeking medical attention if you experience pain, dizziness, shortness of breath, or any other concerning symptom, irrespective of any "readiness," "load," or similar recommendation displayed by the App.
5.7 Family Health Circle Disclaimer
Summarized health information shared through the Family Health Circle is intended for general awareness among family members and is not a substitute for direct communication with the relevant User or their treating Provider regarding that person's health. Raw biometric data (such as beat-to-beat heart rate or minute-level glucose readings) is never shared through this feature; only synthesized scores, status bands, and summaries are made visible to a Requestor, and Cureocity does not guarantee that such summaries capture every clinically relevant detail.
6. AI-Generated Content and Algorithmic Features
6.1 How AI Is Used
The App uses artificial intelligence and large language models ("AI"), together with rules-based and statistical models, to: generate daily coaching insights; draft follow-up consultation summaries and "Personal Health Blueprint" documents (which are reviewed, and may be edited, by a licensed Provider before being finalized and released to you); extract structured data from uploaded medical documents (subject to your review and confirmation before it is used in your health graph); generate personalized workout plans (which are reviewed and approved by a qualified trainer before activation); and detect and describe trends in your wearable and self-reported data using non-diagnostic language.
6.2 Human Review Where Applicable
Where these Terms or the App describe a feature as "Provider-reviewed" or subject to approval, that content is not published or released to you until a named human professional has reviewed, and where applicable edited or approved, the AI-generated draft. Other features (for example, daily Wellness Scores and coaching insights) are generated and delivered on a fully automated basis without individualized human review before you see them, and you should treat that content accordingly, applying the disclaimers in Section 5.
6.3 Accuracy and Your Responsibility to Verify
AI and computer-vision features (including camera-based rep counting, form-scoring, and automatic workout logging) are not guaranteed to be free of error and may occasionally misclassify or fail to record an activity correctly (for example, logging an exercise that did not occur, or an incorrect count). You may review, edit, or delete any AI-logged entry. You are responsible for verifying the accuracy of AI-extracted or AI-logged data before relying on it, particularly where it will be used to calculate calorie, nutrition, or training-load targets.
6.4 Use of Your Data to Improve Our AI
Unless you opt out where an opt-out is offered, your usage data, including corrections you make to AI-generated or AI-logged entries, may be used in de-identified or aggregated form to train, validate, and improve our AI and machine-learning models and to improve the accuracy of Wellness Scores generally. We do not use the substantive content of your uploaded medical documents to train models made available to other companies without your separate consent.
7. Health Vault, Wearables, and Third-Party Device Data
7.1 Health Vault
The Health Vault allows you to upload photographs or files of medical records and lab reports. You may grant a Provider time-limited, read-only access to your Health Vault (for example, for one hour, twenty-four hours, or seven days) to support a consultation; such access automatically expires at the end of the period you select, and you may revoke it earlier at any time from within the App. You may edit or delete records you have uploaded, which will also remove associated data points from your score history and trend graphs. You represent that you have the right to upload any document you submit and that it relates to your own health or that of a person on whose behalf you are validly authorized to act.
7.2 Wearables and Connected Devices
You may connect third-party platforms and devices, including Apple Health/HealthKit, Google Fit, and wearable brands such as Garmin, WHOOP, Oura, and Fitbit-class devices, and continuous glucose monitors. By connecting a device or platform, you authorize Cureocity to receive and process the associated data in accordance with our Privacy Policy and any permissions you grant at the operating-system level. Cureocity is not responsible for the accuracy, availability, or security of third-party devices or platforms, which are governed by their own separate terms and privacy policies. You may disconnect a device at any time through the App or the relevant platform's settings.
7.3 Meal Logging and Dietitian Synchronization
If you are assigned a dietitian as part of a Premium package, meals you log in the App are synchronized to your assigned dietitian's dashboard automatically and continuously as part of that service, without a separate confirmation prompt for each entry. By subscribing to or accepting a dietitian-linked package, you consent to this ongoing sharing for the duration of the assignment. If your package expires, your dietitian will retain access to your historical logs for continuity of care, but new entries will no longer be shared with them. Nutrition search and barcode-scan features may query third-party food databases, which will receive your search terms and scanned product codes.
7.4 Biometric and Camera-Based Features
Certain features (including movement/fitness assessments and facial vitals scanning) use your device's camera in conjunction with third-party computer-vision software development kits to analyze your movement or physiological signals. You consent to this camera-based processing when you activate these features, and you may decline or disable camera permissions at the operating-system level, which will disable the corresponding feature.
8. Continuous Glucose Monitoring and Metabolic Features
In addition to the disclaimers in Section 5.5, you acknowledge that glucose-related alerts (for example, rapid rise or fall notifications) are generated using thresholds and models that require a minimum amount of historical data before certain reassurance-type statements (such as indicating a low-glucose-risk period) will be shown, and that the App will not represent a period as "safe" until that minimum data threshold is met. Medication use, menstrual-cycle phase, and other physiological factors may affect glucose readings and the App's interpretation of them. You remain solely responsible for following your prescribing physician's instructions regarding insulin, medication dosing, and diabetes management, and must not adjust medication based solely on information displayed in the App.
9. Family Health Circle
9.1 Consent-Based Sharing
The Family Health Circle allows one User (a "Requestor") to request a summarized daily view of another User's (a "Target") wellness data. No data is shared unless the Target affirmatively reviews a disclosure describing each category of information to be shared (for example, sleep, recovery, nutrition insights, metabolic trends, and overall health summaries) and separately confirms consent. Cureocity maintains a record of each such consent, including the date, time, and version of the disclosure shown, for accountability and dispute-resolution purposes.
9.2 Revocation
A Target may revoke a Requestor's access at any time through Settings. Upon revocation, the Requestor's ability to view the Target's data is terminated and any locally cached data on the Requestor's device is purged within a commercially reasonable period. A Requestor has no independent right to retain or continue accessing a Target's data following revocation.
9.3 Scope of Shared Data
Only synthesized scores, status bands, and AI-generated summaries are shared through this feature. Raw, minute-level, or beat-to-beat biometric data is never exposed to a Requestor. Requestors should not treat shared summaries as a complete clinical picture of the Target's health and should communicate directly with the Target or encourage the Target to seek medical care where appropriate.
9.4 Invitations to Non-Users
If you invite someone who does not yet have a Cureocity Account to join your Family Health Circle, we will use the contact information you provide solely to deliver that invitation. The invited person's information will not be used for any other purpose unless and until they create their own Account and agree to this Agreement.
10. Consultations, Bookings, and Appointments
10.1 Scheduling
Depending on the service and package you select, appointments may be scheduled by you directly within the App, or, for certain in-clinic services, by Cureocity front-desk staff on your behalf following your purchase. Where a package requires slot selection (for example, gym or group sessions), your purchase is not confirmed until a slot is successfully reserved; in the case of concurrent requests for a limited slot, only one User's purchase will succeed and others will be prompted to select an alternative.
10.2 Provider Assignment
Unless a specific Provider is designated as part of your package, appointments and ongoing coaching relationships (including trainer assignment) are allocated from the pool of available, qualified Providers, and Cureocity does not guarantee that you will be assigned to, or retain, any particular named Provider throughout your engagement.
10.3 Telehealth
Certain consultations are conducted via in-app video. If a video connection cannot be established, the App or our staff may offer a telephone-based fallback. You are responsible for ensuring you have adequate connectivity, a private setting, and any locally applicable legal capacity to receive telehealth services in your location.
10.4 Rescheduling, Cancellation, and No-Shows
You may reschedule or cancel a booked appointment up to two (2) hours before the scheduled start time without penalty, subject to availability. Cancellations made after this window, or failures to attend without notice, may be recorded as a late cancellation or no-show and may, depending on your package terms, count against your purchased entitlement. If Cureocity cancels or is unable to fulfil a scheduled appointment (including for staffing or emergency reasons), the associated entitlement will be returned to your account as an unscheduled ("draft") credit for rebooking, rather than forfeited, except where a full refund is provided instead.
10.5 Unused Entitlements
Consultation credits associated with a purchased package that have not yet been scheduled generally remain available for booking until the package itself expires, as disclosed at the time of purchase. Certain follow-up services that require an in-person physical assessment cannot always be substituted with a remote/online session; if you are unreachable or unable to attend within the timeframe disclosed to you, that specific follow-up may lapse without a digital substitute, as described in your package terms.
11. Subscriptions, Fees, and Payments
11.1 Free and Premium Tiers
The App offers both free and paid ("Premium") tiers and individual paid packages. Free-tier Users generally have access to core logging tools, marketplace browsing, and non-paywalled historical graphs of their own basic metrics; Premium subscribers and package holders receive additional features such as AI-generated and Provider-reviewed personalized programming, dietitian synchronization, and expanded AI coaching depth, as described in the App at the time of purchase.
11.2 Pricing, Taxes, and Currency
Prices are displayed in the currency and tax treatment (inclusive or exclusive, as applicable) shown at checkout and may vary by your registered location or servicing branch. You are responsible for all applicable taxes, duties, and government charges associated with your purchase, except taxes on our net income.
11.3 Payment Processing
Payments are processed through third-party payment gateways (such as Razorpay or Stripe, as applicable in your region) or, for certain in-person purchases, by bank transfer or other methods disclosed to you at the point of sale. Cureocity does not store your full payment card details. If a payment fails, any associated booking, plan unlock, or entitlement will not be activated until payment is successfully completed.
11.4 Auto-Renewal
If you subscribe to a recurring Premium plan, it will automatically renew at the end of each billing cycle at the then-current price unless you cancel before the renewal date through the App or your app-store account settings. We will provide advance notice of any price increase as required by applicable law.
11.5 Refunds and Cancellations
Refunds for packages, consultations, and subscriptions are governed by our Cancellation & Refund Policy made available at the time of purchase and incorporated into these Terms. Except as required by applicable consumer-protection law or as expressly stated in that policy, fees are generally non-refundable once a service has been delivered or a consultation has occurred.
12. Marketplace and Third-Party Service Providers
The App enables you to discover and purchase services delivered by doctors, dietitians, trainers, physiotherapists, psychologists, and partner wellness hubs. Some Providers are Cureocity employees; others are independent contractors or affiliated with partner clinics and hubs and are not Cureocity employees or agents. Cureocity facilitates the discovery, booking, and payment for these services but does not itself practice medicine, and any diagnosis, treatment, prescription, or clinical advice is the sole responsibility of the licensed Provider who furnishes it. Location-based discovery of physical hubs uses your device's location data, which you may disable at any time in your device settings (doing so may limit hub discovery features).
13. User Content and Data License
You retain ownership of the content and data you submit to the App, including uploaded documents, logged meals and workouts, photos, and feedback ("User Content"). By submitting User Content, you grant Cureocity a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display that User Content solely as necessary to operate, maintain, secure, and improve the App and to provide the Services to you (and, where you have authorized sharing, to the Providers or family members you designate). This license ends when you delete the relevant content or close your Account, except to the extent retention is required for legal, regulatory, security, or dispute-resolution purposes as described in our Privacy Policy.
14. Privacy and Data Protection
14.1 Categories of Data We Process
In connection with the Services, we may collect and process: identity and contact information; demographic information; account credentials; Health Data (including diagnosed conditions, medications, allergies, family medical history, lab values, biometric and wearable data, menstrual-cycle and reproductive-health data, sleep, stress, and recovery data, glucose data, and psychological self-assessment responses); payment and billing information; device, location, and usage data; and communications and support records. Sensitive categories, including Health Data, receive heightened technical and organizational safeguards.
14.2 Security Measures
We use encryption in transit and at rest for Health Data, role-based access controls limiting internal staff visibility to what is necessary for their function (with particularly sensitive categories, such as psychological consultation notes, subject to further restricted access), one-time and time-limited access tokens for shared links, and audit logging of access to sensitive records. No method of transmission or storage is completely secure, and we cannot guarantee absolute security.
14.3 Internal Sharing for Service Delivery
Health Data you provide, or that is generated about you (such as fitness assessments), may be visible to multiple categories of Cureocity staff and affiliated Providers involved in your care (for example, a trainer's physical assessment may be visible to your assigned doctor and dietitian) strictly for the purpose of coordinating your wellness and clinical services. This is described in more detail in our Privacy Policy.
14.4 Your Rights
Subject to applicable law, you have the right to access, correct, export, and request deletion of your personal data, to withdraw consent for specific processing activities (such as a Health Vault share or Family Health Circle connection) at any time without affecting the lawfulness of prior processing, and to lodge a complaint with the applicable data protection authority or our designated Grievance Officer. Deleting your Account will result in the deletion or anonymization of your personal data within the timeframe described in our Privacy Policy, except where retention is required for legal, tax, security, or safety purposes.
14.5 Data Retention
We retain personal and Health Data for as long as your Account is active and for a reasonable period thereafter to comply with legal, accounting, dispute-resolution, and safety obligations, as further described in our Privacy Policy.
15. Special Provisions for Indian Users
Where you access the App from India, or where processing of your personal data is otherwise subject to Indian law, the following apply in addition to Section 14:
We process your personal data as a "Data Fiduciary" under the Digital Personal Data Protection Act, 2023 ("DPDP Act") and will only process your personal data, including sensitive Health Data, on the basis of your free, specific, informed, and unambiguous consent, or another legal basis recognized under the DPDP Act.
You have the rights of a "Data Principal" under the DPDP Act, including the right to obtain a summary of personal data processed, the right to correction and erasure, the right to grievance redressal, and the right to nominate another individual to exercise your rights in the event of death or incapacity.
Certain categories of demographic, census-referenced, or regulated health-derived processing (for example, population-benchmarked biological-age scoring) are performed using infrastructure located within India in order to comply with applicable data-residency expectations under Indian law.
We have appointed a Grievance Officer in accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, whose contact details are provided in Section 27. We will acknowledge grievances within the timeframe prescribed by applicable rules and endeavor to resolve them within the statutory period.
Nothing in this Section limits any additional rights available to you under the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020, including rights relating to grievance redressal, refunds, and fair-trade practices.
16. Special Provisions for U.S. Users
Where you access the App from the United States, the following apply in addition to Section 14:
Cureocity is a direct-to-consumer wellness platform and is not, with respect to your use of the App, a "covered entity" or "business associate" as those terms are defined under the U.S. Health Insurance Portability and Accountability Act ("HIPAA"), unless and to the extent we expressly notify you otherwise in writing (for example, in connection with a specific employer- or insurer-sponsored program). We nonetheless apply administrative, technical, and physical safeguards to your Health Data that are informed by HIPAA-aligned security practices, as described in Section 14.2.
If you are a resident of a U.S. state that has adopted a consumer privacy law (such as the California Consumer Privacy Act, as amended, or a comparable state law), you may have additional rights, including the right to know what personal information we collect, use, and disclose; the right to delete personal information; the right to correct inaccurate personal information; the right to opt out of the "sale" or "sharing" of personal information (Cureocity does not sell your personal information for monetary consideration); and the right to be free from discrimination for exercising these rights. Requests may be submitted to admin@cureo.city and will be verified and processed in accordance with applicable law.
If you are a resident of a state with a consumer health data law (such as Washington's My Health My Data Act or comparable legislation), you have the right to withdraw consent to the collection, sharing, or use of "consumer health data" as defined under such laws, and we will honor valid requests to delete such data in accordance with applicable timeframes.
Nothing in this Section limits any rights you may separately have under the U.S. Federal Trade Commission Act or applicable state unfair or deceptive trade-practices statutes.
17. User Conduct and Prohibited Uses
You agree not to:
provide false or misleading Health Data or impersonate another person;
access or attempt to access another User's Account or Health Data without authorization;
use the App to harass, threaten, or abuse any Provider or other User;
upload content that infringes third-party rights or contains malicious code;
reverse-engineer, scrape, or attempt to extract the App's underlying algorithms, models, or datasets;
use the App for any unlawful purpose or in a manner that could damage, disable, or impair the Services; or
circumvent any access, payment, or security control.
18. Intellectual Property
The App, including its software, design, text, graphics, trademarks, logos, Wellness Score methodologies, and all underlying algorithms and AI models, is owned by Cureocity or its licensors and is protected by applicable intellectual property laws. Except for the limited license to use the App for its intended personal, non-commercial purpose, no rights are granted to you in our intellectual property. "Cureocity," the Cureocity logo, and related marks are trademarks of Cureocity and may not be used without our prior written consent.
19. Third-Party Links, Integrations, and Services
The App integrates with, and relies upon, a number of third-party services, including wearable and health-platform providers (such as Apple Health, Google Fit, Garmin, WHOOP, Oura, and Fitbit), payment gateways (such as Razorpay and Stripe), mapping services, food and nutrition databases, video/telehealth infrastructure, optical character recognition and large-language-model providers, and motion-tracking and biometric-scanning software development kits. These third parties operate under their own terms and privacy policies, which we encourage you to review. Cureocity is not responsible for the acts, omissions, availability, or accuracy of any third-party service, and your use of any linked or integrated third-party service is at your own risk.
20. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP AND ALL CONTENT, WELLNESS SCORES, AI-GENERATED INSIGHTS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. NOTHING IN THIS SECTION EXCLUDES OR LIMITS ANY WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING CONSUMER-PROTECTION RIGHTS AVAILABLE TO YOU UNDER APPLICABLE LAW.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CUREOCITY AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE APP, INCLUDING ANY RELIANCE ON A WELLNESS SCORE, AI-GENERATED INSIGHT, OR THIRD-PARTY DEVICE DATA. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CUREOCITY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID TO CUREOCITY FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. THIS SECTION DOES NOT LIMIT LIABILITY FOR DEATH, PERSONAL INJURY, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING LIABILITY ARISING FROM A PROVIDER'S NEGLIGENT PROVISION OF CLINICAL SERVICES WHERE CUREOCITY IS FOUND RESPONSIBLE UNDER APPLICABLE LAW.
22. Indemnification
You agree to indemnify and hold harmless Cureocity, its officers, employees, and affiliates from any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of your breach of this Agreement, your misuse of the App, your violation of applicable law, or your provision of inaccurate Health Data, except to the extent caused by Cureocity's own negligence or willful misconduct.
23. Term, Suspension, and Termination
This Agreement remains in effect for as long as you use the App. You may close your Account at any time through the App or by contacting us. We may suspend or terminate your access if you breach this Agreement, engage in fraudulent or abusive conduct, or where required by law, and we will make reasonable efforts to notify you before doing so except where immediate action is necessary to protect the security or integrity of the App or other Users. Sections that by their nature should survive termination (including Sections 5, 6, 13, 14, 18, 20, 21, 22, and 24) will survive.
24. Dispute Resolution and Governing Law
24.1 Governing Law
This Agreement is governed by the laws of the Republic of India, without regard to its conflict-of-laws principles, except that Users accessing the App from the United States retain any non-waivable consumer-protection rights available under applicable U.S. federal or state law as described in Section 16.
24.2 Informal Resolution
Before initiating formal proceedings, you agree to first contact us at admin@cureo.city so that we may attempt to resolve the dispute informally within thirty (30) days.
24.3 Arbitration and Jurisdiction
Any dispute, controversy, or claim arising out of or relating to this Agreement that is not resolved informally will be referred to and finally resolved by arbitration in Manjeri/Malappuram, India, in accordance with the Arbitration and Conciliation Act, 1996, conducted in the English language by a sole arbitrator, and the courts at Manjeri/Malappuram, India will have exclusive jurisdiction over any matter not subject to arbitration or in aid of arbitration. Nothing in this Section prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.
25. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. We will notify you of material changes through the App or by email, and, where required by applicable law, obtain your renewed consent before the changes take effect. Your continued use of the App after the effective date of any update constitutes your acceptance of the revised Terms.
26. General Provisions
Entire Agreement: This Agreement, together with our Privacy Policy and any incorporated policies, constitutes the entire agreement between you and Cureocity regarding the App and supersedes any prior agreements.
Severability: If any provision of this Agreement is found unenforceable, the remaining provisions will remain in full force and effect.
Assignment: You may not assign this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets.
Force Majeure: Neither party is liable for delays or failures in performance resulting from causes beyond its reasonable control.
No Waiver: Our failure to enforce any right or provision of this Agreement is not a waiver of that right or provision.
Notices: We may provide notices to you via the App, email, or SMS/WhatsApp using the contact details on your Account.
